Represented leading investment bank in connection with the acquisition of €80,000,000 of shares of companies owning a portfolio of Scandinavian commercial properties. Reviewed and summarized leases and loan documents to which such companies were parties. Prepared related memoranda.
Represented Asian bank in sale of multiple loan portfolios totaling $100,000,000. Drafted and negotiated purchase contract and transference documents.
Represented European bank in $230,000,000 debt sale. Review of sale contract with respect to real estate issues. Performed real estate related title review and due diligence. Drafted and negotiated transfer documents.
Negotiated lease of leading software developer for its corporate headquarters.
Negotiated and drafted 10 year, $100,000,000 lease for leading hedge fund. Periodic review and related discussion and negotiation of interpretation of terms thereof.
Represented leading hedge fund in its $20,000,000 lease. Negotiated terms of surrender thereof.
Drafted and negotiated amendment to 10 year, $12,000,000 lease of a New York based hedge fund.
Reviewed terms of leases executed by major university and prepared summaries and analysis thereof in connection with university’s subleasing of property.

Represented individual lender in multiple mortgage loans and purchase money mortgage sale transactions in connection with the purchases and sales of high end Miami residential properties.

Represented borrower in negotiation of $5,250,000 mortgage and asset loan in connection with acquisition of target company.

Represented major international bank in connection with a portfolio of dozens of loans secured by residential real property. Litigated foreclosure actions, defended interests in junior liens and addressed regulatory and other claims by borrowers.

Represented leading real estate investment trust in connection with the amendment and modification of a $250,000,000 mortgage loan associated with a major downtown Manhattan residential construction project, along with the issuance of additional mortgage loans for related construction costs. Drafted and negotiated loan documents, participation documents, mezzanine intercreditor documents, release documents and loan documents prepared concurrently with the issuance of a consolidated mortgage loan issued in connection with the sale of borrower’s interest in the project to an outside entity.
Represented leading real estate investment trust in connection with the amendment and modification of a $50,000,000 mortgage loan and the issuance of additional mortgage loan for construction costs associated with a major downtown Manhattan residential construction project. Prepared default related correspondence, agreements and eventually payoff documents upon payment in full.
Represented leading real estate financing bank in modification of $360,000,000 mortgage loan associated with Atlanta residential and office project. Drafted and negotiated loan and related bond issuance documents.
